Terms & Conditions Affiliate Program

1. GENERAL

This Affiliate Program Agreement (also "Agreement", "Affiliate Agreement", "Terms and Conditions", "Affiliate Terms") is entered into by and between Bright Beauty Vanity ("Bright Beauty Vanity, B.V.") and the Partner (also "You", "Affiliate Partner", "Affiliate"), and becomes effective from the date of (electronic) acceptance. This Agreement sets forth the terms and conditions for your use of the Affiliate Program (the "Affiliate Program" or the "Services"). Your electronic acceptance of this Agreement means that you have read, understood, acknowledged and agree to be bound by this Agreement, together with Bright Beauty Vanity's terms and conditions as available on its site, which are incorporated herein by reference. The terms "we", "us" or "our" refer to Bright Beauty Vanity. The terms "you", "your", "User", "customer" or "Affiliate" refer to any person or entity that accepts this Agreement. Nothing in this Agreement shall be deemed to confer any rights or benefits on any third party. Bright Beauty Vanity may, in its sole discretion, modify or modify this Agreement and any policies or agreements incorporated herein at any time, and such changes or modifications shall be effective immediately upon posting on the Bright Beauty Vanity website (this "Site"). You acknowledge and agree that
Bright Beauty Vanity may notify you of any such changes or modifications by posting them on this Site. Your use of this Site or the Services found on this Site after such changes or modifications have been made (as indicated by the "Last Revised" date at the top of this page) constitutes your acceptance of this Agreement as last revised.

If you do not agree to be bound by this Agreement as last revised, you may not use (or continue to use) this Site or the Services on this Site. In addition, Bright Beauty Vanity may occasionally notify you by email of changes or modifications to this Agreement. It is therefore very important that you keep your account ("Account") information, including your email address, up to date. Bright Beauty Vanity assumes no liability or responsibility for failure to receive an email notification if such failure results from an incorrect or outdated email address. 

2. PARTICIPATION IN THE AFFILIATE PROGRAM

To register for the Affiliate Program, an application is submitted by following this link and filling out the form. Completing an application does not guarantee acceptance as a Partner and applications may be rejected for any reason. 

3. YOUR RESPONSIBILITIES

As a Bright Beauty Vanity Affiliate, you agree that: It is your sole responsibility to provide us with accurate account information and it is your responsibility to keep that information up to date. Such information includes, but is not limited to: contact information, payment details, tax information, any website URL(s) where Bright Beauty Vanity is promoted, promotional assets and practices, and any other details we may request. Bright Beauty Vanity reserves the right to request additional information about any website where Bright Beauty Vanity is promoted and any additional information about the practices used to promote Bright Beauty Vanity on those websites. Failure to provide the requested data in any way or the data is not accurate may result in exclusion from the Affiliate Program, temporary suspension or termination of your Affiliate account, and loss of any commission. The Affiliate must act in good faith and refer customers in good standing. Customers in good standing are the buyers of products referred by you on the website www.brightbeautyvanity.com who have made final purchases and provided valid contact information, payment has been completed prior to the purchase and has conformed to the Bright Beauty Vanity terms and conditions and has not been flagged for high fraud risk. Final purchases refers to your referred new users who have placed an order on the website www.brightbeautyvanity.com and have not returned the order within the 14 (fourteen) day withdrawal period. Bright Beauty Vanity may reject a referred purchase without giving any reason.
Recommendations or actions that may result in loss of revenue for Bright Beauty Vanity are not acceptable. Only marketing practices that will attract reputable customers should be used. None of Bright Beauty Vanity's copyrighted images, banners, icons, images, or other content may be altered, copied, or altered by any affiliate. Methods of self-referral, clicking on your own affiliate link or discount code and banners, placing orders through your unique affiliate link or with your own discount code is not allowed, or using VPN services to make purchases with your own affiliate link or affiliate discount code is considered violations. Such a violation may result in loss of all accrued rewards and dismissal from the affiliate program. 

It is not allowed to:

Promote websites or services that are illegal in nature

Promote any unsolicited electronic communication via email, text message or similar

medium ('spam'), when this is done without a legally required opt-in,

display promotional or solicitative expressions in pop-up, pop-under or similar windows or techniques,

Encouraging visitors to falsely visit the publisher's site and/or order something (click fraud)

Suggesting that the affiliate is an official dealer of the service provider.

Using popups, pop-unders, and the like
Engaging in blackhat SEO or spam-link-building techniques.

Discount codes and links may only be shared on social media

Discount codes or links may not be shared on third-party websites, such as discount promotion websites or websites that have not been given prior permission by Bright Beauty Vanity.

No commission will be paid on items that are returned within the 14-day cooling-off period

Encourage, promote, or encourage violence or discrimination against any person, organization, or government agency.

If Bright Beauty Vanity suspects or discovers patterns of violations of the Affiliate Program Agreement, Bright Beauty Vanity reserves the right, as a result of a violation of the Program Agreement, to suspend and/or terminate your Affiliate account and cancel all Commission Payments due.

 

4. AFFILIATE ADVERTISING

Only Bright Beauty Vanity approved promotional materials may be used on the Affiliate Site to advertise Bright Beauty Vanity. By signing this agreement, you are granted a non-exclusive, limited, and non-transferable license to access, download, and post the approved promotional materials on your website for the sole purpose of promoting websites operated, controlled, and owned by Bright Beauty Vanity. If the decision of a party terminates the Affiliate Agreement, such attribution will be revoked. 
Bright Beauty Vanity has the exclusive right to decide whether any promotional method you use is appropriate. Using any advertising method that we deem inappropriate may result in a warning, suspension or termination of your affiliate account and cancellation of any outstanding commission payments due. In addition, any rude, aggressive way of communicating with the dedicated affiliate manager will result in a permanent ban from the affiliate program with no exceptions.

   AFFILIATE TRACKING COOKIES
   Affiliate sales are tracked using cookies. Cookies are automatically placed in the browser of the clicker that reaches our website. Cookies are stored for a maximum of 90 days. If cookies are intentionally deleted, Bright Beauty Vanity cannot be held responsible for this. 
   
   6. AFFILIATE COMMISSIONS

If a sale is successful and the Affiliate's link or discount code has been used, the Affiliate will receive 10% of the sale amount, i.e. if an invoice has generated €100 including VAT, the Affiliate will receive €10. This is a one-time payment. This agreement has a term of 3 (three) months, unless explicitly agreed otherwise. Discount codes that are made available to affiliates cannot be used in combination with other discount promotions or discounts.

Payouts will only be made for purchases made within the term of the agreement and with the discount code assigned to the affiliate. In addition, a sale can be attributed to an affiliate if the first visit of these purchases can be traced back to this affiliate.

7. INVOICING

Commission statements will be sent to your chosen email address. Payments are made monthly. The minimum amount for withdrawal is €25. For amounts exceeding €5,000, Bright Beauty Vanity can only pay out 40% of the amount per month, i.e. if an invoice from the Commission is generated with €5,000 for the first month, Bright Beauty Vanity will allow 40% of the amount to be withdrawn (which is €2,000) and the rest will be paid off the following month. In the event that Bright Beauty Vanity terminates the agreement due to non-performance or fraud by the affiliate, the affiliate will no longer be paid his outstanding amounts.

8. RELATIONSHIP OF THE PARTIES

Both parties agree that they are entering into this agreement as self-employed persons and that there is no employment relationship between them. By entering into this agreement, the parties do not constitute a partnership, general partnership, public company, joint venture or similar partnership. Neither party is authorized to enter into any obligations on behalf of the other. The Affiliate cannot make any representations or promises on behalf of Bright Beauty Vanity.

 

9. ACCOUNT TERMINATION

This Agreement may be terminated at any time by giving instruction via email to your designated Bright Beauty Vanity representative
Bright Beauty Vanity may terminate an affiliate account:
Without notice and without any explanation. Immediately without notice, if your affiliate account or you violate the terms and conditions of the affiliate program. When an affiliate account is terminated, sales are not tracked, and you are not eligible for future commissions. If any commissions are due at the time of termination, they will be paid during the regular billing cycle. No outstanding commission payments will be due if your account is terminated due to the violation of these Terms and Conditions. Once the Affiliate account is terminated, the Affiliate is required to remove all promotional materials, links, logos, trademarks and slogans of Bright Beauty Vanity from its website within a period of 3 business days. This provision shall survive termination of the Affiliate Agreement. Upon termination of this Affiliate Agreement, the Affiliate will no longer have the right to use any Bright Beauty Vanity trademark(s), logo(s) and slogan(s) and will refrain from any actions that damage the reputation, image and any business relationships with current and potential customers of Bright Beauty Vanity, directly or indirectly. 

10. Confidential Information

Each party acknowledges that it may gain access to certain Confidential Information of the other party as a result of this Affiliate Agreement. "Confidential Information" means all documentation and information, including techniques, algorithms and processes and technical, business and marketing information, designated or marked by the party disclosing such documentation and information orally, visually or in writing (the "Disclosing Party") as "owned" or "confidential" or similar, or which the other party (the "Receiving Party") knows to be confidential,  or reasonably consider it confidential under the circumstances of the disclosure provided by the Disclosing Party to the receiving Party in connection with this Affiliate Agreement. During the Term and for a period of five (5) years thereafter, each Receiving Party agrees: (a) to keep the Disclosing Party's Confidential Information strictly confidential, with the same degree of (but no less than reasonable) care and protection that it exercises with its own Confidential Information of a similar nature; (b) not to disclose, directly or indirectly, or otherwise make available to any third party, any confidential information of the disclosing party; and (c) not to copy or use the Disclosing Party's Confidential Information for any purpose other than as necessary to perform the Receiving Party's obligations or exercise its rights under this Affiliate Agreement. Each party shall disclose the other party's Confidential Information only to its employees and affiliates who have a need to know in order to comply with that party's obligations hereunder. In addition, the Receiving Party is permitted to disclose Confidential Information of the Disclosing Party to the extent that such disclosure is approved in writing by the Disclosing Party or is required by law or by order of a court or similar judicial or administrative authority, provided that (to the extent permitted by law) the Receiving Party promptly notifies the Disclosing Party in writing of such required disclosure and cooperates with the Disclosing Party, upon reasonable request and at the reasonable expense of the Disclosing Party, in any lawful action. 
The obligations of this section do not apply to Confidential Information if such information: (a) is publicly available prior to or at the time of disclosure, or is subsequently disclosed without action by the Receiving Party; or (b) prior to the disclosure hereunder was lawfully known to the Receiving Party (other than in connection with this Affiliate Agreement) without limitation of confidentiality.

11. GOVERNING LAW

Any controversy, claim, or dispute arising out of this Affiliate Agreement will be resolved in accordance with the jurisdiction and laws in which the Bright Beauty Vanity entity serving your Affiliate account is located.

12. CHANGES TO THE AFFILIATE PROGRAM TERMS

We reserve the right to change the policies or terms of this Affiliate Agreement at any time. Such changes will be effective immediately after they are posted on the Bright Beauty Vanity website. The present Terms and Conditions of the Affiliate Agreement are available on the website of Bright Beauty Vanity. If you do not agree to any changes to the Affiliate Agreement, you may cancel your account within 10 business days.
